SERVICE TERMS

1. Description of Services

Arabant Group Limited ("the Group") provides coordinated access to a range of professional and intermediary services through its constituent divisions. Services available through this platform include:

– Private aviation coordination — access to aircraft sourcing, scheduling, and operator liaison through Air Mobility Group (AMG).

– Private membership access — curated membership, hospitality, and lifestyle services through AMERA™ Private Network.

– Strategic advisory services — business process review and analytical advisory through Vega | al-Nasr — النسر | Middle East & GCC practice

– Intellectual property management — portfolio oversight, licensing advisory, and transaction structuring through Arabesque.

– Capital solutions — structured financial support for qualifying enterprises and family office investments through Gemini II.

– Asset stewardship and philanthropic grant-making through Oryx.

Services are provided to qualifying principals, including sovereign entities, family offices, institutional investors, and professionally advised individuals. Engagement is subject to the Group's client acceptance and compliance procedures.

No physical goods are shipped unless expressly confirmed in connection with a specific service arrangement. All digital and service deliverables are provided electronically or through direct client engagement.

2. Transaction Currency

Payments processed through this platform are denominated in United States Dollars (USD) by default.

Payments may also be accepted in Pounds Sterling (GBP), Euros (EUR), or UAE Dirhams (AED), where confirmed in the relevant service arrangement and where regulatory requirements permit.

The applicable currency will be stated at the time of payment. Exchange rate fluctuations are the responsibility of the paying party unless otherwise agreed in writing.

We aim to respond to all written enquiries within three business days. For time-sensitive matters, please indicate the urgency in the subject line of your communication.

4. Cancellation and Refund Policy

Service fees and retainers are non-refundable once confirmed and activated, except in the circumstances described below.

A refund or credit may be considered where:

– A duplicate payment has been processed in error.

– A technical or processing error has resulted in an incorrect charge.

– A refund is required by applicable law in the relevant jurisdiction.

All refund requests must be submitted in writing to group@arabantgroup.com within fourteen (14) calendar days of the transaction date, with supporting documentation where applicable.

Refunds, where approved, will be processed to the original payment method within ten (10) business days. The Group reserves the right to decline requests that do not meet the above criteria.

Cancellation of ongoing service arrangements is governed by the terms of the relevant engagement letter or service agreement between the Group and the client.

5. Client Acceptance and Compliance

Engagement with Arabant Group is subject to satisfactory completion of the Group's client acceptance procedures, which may include:

– Identity verification and beneficial ownership checks.

– Sanctions screening against applicable lists, including those maintained by OFAC, HM Treasury/OFSI, and the European Union.

– Enhanced due diligence where required by applicable anti-money laundering regulations.

– Assessment of the proposed engagement against the Group's internal risk and compliance framework.

The Group reserves the right to decline or terminate any engagement that does not satisfy its compliance requirements, without obligation to provide reasons.

6. Legal and Export Restrictions

Services are not available to persons or entities located in, or subject to the sanctions laws of, jurisdictions designated by the United Nations Security Council, the United Kingdom (OFSI/HM Treasury), the European Union, the United States (OFAC), or the United Arab Emirates.

The Group will not facilitate transactions or engagements that contravene applicable export control regulations, financial sanctions, or anti-bribery legislation, including:

– The UK Bribery Act 2010

– The US Foreign Corrupt Practices Act (FCPA)

– UK export control legislation and EU dual-use regulations

– US Export Administration Regulations (EAR) and ITAR, where applicable

Aviation-related services are subject to additional regulatory requirements, including civil aviation authority approvals, airworthiness certifications, and applicable bilateral agreements. The Group does not provide air carrier services or hold an Air Operator Certificate (AOC). All aviation operations are conducted by appropriately licensed operators.

7. Privacy and Data Protection

Arabant Group is committed to the protection of personal data processed in connection with the provision of its services.

Personal data is collected solely for service delivery, compliance, and client communication. Data is not sold or transferred to third parties without the express consent of the data subject, except where required by law or regulation.

Data subjects have the right to access, correct, restrict, or request deletion of their personal data. Requests should be directed to:

Data is retained for a maximum of five (5) years from the date of the last recorded engagement. The Group complies with applicable data protection legislation, including the UK GDPR, EU GDPR, and UAE Federal Decree-Law No. 45 of 2021 (Personal Data Protection Law).

8. Payment Processing and Security

Payments processed through this platform are handled by Stripe, Inc., a PCI-DSS Level 1 compliant payment processor. All transactions are encrypted via SSL/TLS.

Arabant Group Limited does not retain, store, or have access to full payment card details. Card data is processed and stored exclusively by Stripe in accordance with applicable payment card industry standards.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Arabant Group Limited shall not be liable for indirect, consequential, or incidental losses arising from the use of this platform or the provision of services, including but not limited to loss of profit, business interruption, or reputational damage.

Nothing in these terms excludes or limits liability that cannot be excluded by law, including liability for fraud or fraudulent misrepresentation.

The total aggregate liability of the Group to any client in connection with a specific engagement shall not exceed the fees paid by that client in the twelve (12) months preceding the relevant claim, except where otherwise agreed in writing.

10. Governing Law and Jurisdiction

These terms are governed by and construed in accordance with the laws of England and Wales.

Any dispute arising from or in connection with these terms that cannot be resolved by agreement between the parties shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless an alternative dispute resolution mechanism is agreed in writing between the parties.

Nothing in this clause prevents either party from seeking urgent injunctive or other interim relief from a court of competent jurisdiction.

11. Amendments

Arabant Group Limited reserves the right to amend these terms at any time in accordance with its internal governance procedures. Material changes will be communicated to clients in writing prior to taking effect.

Continued use of the Group's services following notification of amended terms constitutes acceptance of the revised terms.
